Reptile Telematics - Service Agreement

1. DEFINITIONS

In this Agreement:

1.1 "Agreement"

This Service Terms and Conditions document, including all schedules, annexures, quotations, service orders, and application forms signed by the Client.

1.2 "Reptile"

Reptile Equipment and Transport (Pty) Ltd, Reg No. 79565/2022, a private company incorporated in Lesotho, trading as Reptile Fleet Management Solutions, including its authorised employees, subcontractors, technicians and service partners.

1.3 "Client"

Any individual, company, fleet operator, entity or person contracting with Reptile for telematics, tracking, monitoring or stolen vehicle recovery services.

1.4 "Vehicle"

Any motor vehicle, truck, motorcycle, taxi, plant machinery or movable asset in which a Reptile-approved Telematics Unit is installed.

1.5 "Unit" / "Telematics Unit" / "Device"

A GPS/GPRS/GSM tracking device supplied, installed or authorised by Reptile, including its wiring, antennas, SIM cards and accessories.

1.6 "Services"

All Reptile Telematics services, including:

  • Live tracking
  • Telematics reporting
  • Driver behaviour alerts
  • Immobiliser functionality (if fitted)
  • Stolen Vehicle Recovery (SVR)
  • Notifications and geofencing
  • Platform and mobile app access

1.7 "Platform" / "Reptile Telematics Platform"

The online tracking platform and mobile app used to display and process telematics data.

1.8 "SVR Partner"

Reptile's authorised recovery partner for cross-border operations, currently Capital Air South Africa, which conducts recovery efforts for Lesotho-registered vehicles inside South Africa.

1.9 "Roaming Fee" / "Roaming Charges"

Additional GSM costs incurred when the Unit transmits data on a foreign GSM network outside Lesotho.

1.10 "Installation" / "Fitment"

Any installation, testing, removal, relocation or servicing of a Telematics Unit.

1.11 "Minimum Term"

The minimum contract period agreed upon in the Application Form, usually is 12 months unless otherwise stated.

1.12 "Third Party"

Any person or entity not directly authorised by Reptile, including insurers, external technicians, vehicle dealerships, and roadside services.

1.13 "Force Majeure"

Any event beyond Reptile's reasonable control, including network failures, natural disasters, national emergencies, regulatory restrictions or civil unrest.

2. INTERPRETATION

2.1 Headings are for convenience and do not affect interpretation.

2.2 Words in the singular include the plural and vice versa.

2.3 Reference to a person includes legal entities and successors.

2.4 If any clause is found invalid, the remaining provisions remain enforceable.

2.5 This Agreement must be interpreted to give practical effect to the provision of telematics services.

3. PROVISION OF SERVICES

Reptile shall provide one or more of the following services:

3.1 Telematics Tracking Services

  • Real-time location tracking
  • Trip history and route monitoring
  • Harsh braking/acceleration alerts
  • Battery and tamper notifications
  • Geofencing

3.2 Platform Access

The Client will have access to the Reptile Telematics Platform (web or mobile), subject to subscription fees.

3.3 Stolen Vehicle Recovery (SVR)

Reptile provides SVR services through:

  • LMPS coordination within Lesotho
  • Capital Air South Africa for cross-border recovery
  • 24-hour SVR support line
  • Live tracking assistance during incidents

3.4 Limitations of Services

Services depend on:

  • GSM network availability
  • GPS satellite coverage
  • Vehicle battery power
  • Correct installation
  • Environmental and terrain conditions

Reptile cannot guarantee 100% uptime or coverage.

4. INSTALLATION, TESTING AND ACTIVATION

4.1 Approved Installers Only

Units must only be installed or serviced by Reptile-authorised technicians.

4.2 Testing and Verification

After installation, the Client receives a 48-hour verification period to confirm operational status.

4.3 Activation of Services

Services start when:

  • The Unit is installed, and
  • GSM/GPS connectivity is confirmed.

4.4 Tampering Prohibited

Tampering includes:

  • Removing the Unit
  • Damaging wiring
  • Replacing SIM cards
  • Installing competing systems on same circuitry
  • Obstructing antennas
  • Disconnecting power

Tampering may lead to suspension, voided warranties, or cancellation.

5. CLIENT OBLIGATIONS

The Client shall:

5.1 Maintain Vehicle Power

Ensure the vehicle battery and electrical system remain functional.

5.2 Prevent Tampering

Only Reptile or its authorised technicians may work on the Unit.

5.3 Payment of Fees

Pay subscription, installation and roaming costs on time.

5.4 Theft Reporting

Immediately report any theft to:

  1. LMPS
  2. Reptile Emergency Line
  3. Provide a case number
  4. Follow recovery partner instructions

5.5 Use of the Platform

Maintain the confidentiality of login details and user credentials.

5.6 Information Accuracy

Provide correct and updated owner, driver and vehicle details.

6. STOLEN VEHICLE RECOVERY (SVR)

6.1 Scope of SVR Services

SVR includes:

  • Recovery assistance in Lesotho
  • Cross-border recovery in South Africa via Capital Air
  • Dispatch of recovery personnel where appropriate
  • Tracking support

6.2 Requirements During Theft

The Client must:

  • Report theft immediately
  • Provide case number within reasonable time
  • Follow instructions provided by Reptile or Capital Air
  • Avoid interfering with recovery efforts

6.3 Exclusions and Limitations

SVR cannot guarantee:

  • Location of vehicle
  • Successful recovery
  • Recovery timeframes
  • Condition of recovered vehicle
  • Recovery outside Lesotho and South Africa
  • Recovery where GPS/GSM is unavailable

6.4 False Alarms

Unnecessary deployment due to false alarms may incur charges.

7. FEES, CHARGES AND PAYMENT TERMS

7.1 Subscription Fees

Monthly subscription fees apply for SIM data, platform access, and monitoring.

7.2 Roaming Charges

Roaming applies when the Vehicle leaves Lesotho. Additional fees may apply when the vehicle is out Lesotho for an extended period (more than 14 days).

7.3 Fee Adjustments

Fees may be increased annually with 30 days' notice.

7.4 Payment Terms

  • Payment due on invoice date unless otherwise stated
  • Debit orders may be used
  • Late payments may attract interest

7.5 Suspension for Non-Payment

Reptile may suspend services after 30 days of non-payment.

8. CONTRACT TERM AND CANCELLATION

8.1 Minimum Term

Standard term: 12 months.

8.2 Cooling-Off

Applies only to direct marketing, and only before installation.

8.3 Early Cancellation

Client remains liable for all outstanding fees for the remainder of the Minimum Term.

8.4 Cancellation by Reptile

Reptile may terminate immediately in cases of:

  • Fraud
  • Tampering
  • Non-payment
  • Abuse of services
  • Misuse of SVR services

9. LIABILITY AND INDEMNITY

9.1 Reptile Is Not Liable for:

  • GSM network outages
  • GPS coverage limitations
  • Weather, environmental or terrain issues
  • Failure caused by tampering or faulty vehicle wiring
  • Losses related to unrecovered vehicles
  • Indirect or consequential damages

9.2 Client Indemnity

Client indemnifies Reptile against losses resulting from:

  • Tampering
  • Incorrect vehicle wiring
  • Use of unauthorised installers
  • Misuse of the Telematics Unit

10. DATA PROTECTION AND PRIVACY

Reptile complies with Lesotho's Data Protection Act.

10.1 Collection and Use

Data is collected for:

  • Tracking
  • SVR
  • Reporting
  • Platform analytics

10.2 Sharing of Data

Data may be shared with:

  • SVR Partner (Capital Air)
  • LMPS
  • Insurers
  • Regulatory authorities if required by law

10.3 Cross-Border Transfer

Telematics and SVR data may be processed in South Africa.

11. AMENDMENTS

Reptile may amend these Terms & Conditions with 30 days' notice. Continued use of Services constitutes acceptance.

12. FORCE MAJEURE

Reptile shall not be liable for delays or failures caused by Force Majeure, including network outages and national emergencies.

13. DISPUTE RESOLUTION

13.1 Internal Resolution First

Parties shall attempt to resolve disputes through internal management escalation.

13.2 Legal Process

If unresolved, the dispute may be referred to mediation or the Courts of Lesotho.

14. GOVERNING LAW

This Agreement is governed by the laws of the Kingdom of Lesotho.
